4. No Guarantee of Commercial Opportunity
The publication of information about a market, business opportunity, supplier, counterparty, service, or potential transaction does not constitute a representation or guarantee that the opportunity will be available, suitable, viable, or capable of completion.

Commercial outcomes depend on the circumstances of each engagement and on decisions and actions taken by the relevant parties.

However, due diligence is a risk-management process and is not a guarantee that a person, company, document, opportunity, transaction, or representation is genuine, accurate, complete, lawful, financially viable, or capable of successful completion.
Information supplied by a prospective counterparty may originate from that counterparty or from third-party sources.
Where appropriate, Yudiva may recommend or coordinate independent verification through lawyers, accountants, compliance specialists, inspection companies, financial institutions, regulators, or other professional advisers.

- endorses that party
- guarantees that party
- has entered into a partnership with that party
- guarantees that party's performance
- accepts responsibility for that party's conduct
You should conduct appropriate independent verification before relying on third-party information for a commercial decision.

Any investment decision remains the responsibility of the relevant investor.
Where regulated investment services or advice are required, you should consult an appropriately authorised professional.

You should not submit:
- confidential information belonging to another party without authorisation
- material that infringes another person's intellectual property rights
- unlawful material
- malicious code
- information that you are prohibited from disclosing
Submitting information to Yudiva does not automatically create a client relationship, agency relationship, partnership, joint venture, representation agreement, or other formal commercial relationship.
Any such relationship must be established through appropriate agreement or other legally effective arrangement.
18. Confidential Information
The website itself is not intended to be a secure repository for highly confidential commercial information.
If you have commercially sensitive information, you should contact Yudiva before sending it and, where appropriate, enter into a suitable confidentiality or non-disclosure agreement.
Our handling of personal information is governed by our Privacy Policy.
Where a separate confidentiality agreement exists, that agreement will govern confidential information covered by it.

For business users, and to the extent permitted by law, Yudiva will not be responsible for indirect or consequential loss arising from use of the website, including loss of anticipated profits, revenue, business opportunities, goodwill, or commercial expectations, where such liability can lawfully be excluded.
Any liability arising from a separately contracted service will be governed primarily by the terms of the relevant written engagement.
Where liability cannot be excluded, any limitation will apply only to the extent permitted by applicable law and will be interpreted in accordance with any mandatory legal requirements concerning reasonableness or fairness. UK guidance recognises that liability exclusions in business contracts are subject to legal limits and, in relevant circumstances, reasonableness requirements.
25. No Reliance on Website Alone

Where you are considering a significant commercial transaction, you should carry out appropriate independent diligence and obtain professional advice relevant to your circumstances.

Where permitted by law, you agree to compensate Yudiva for losses, liabilities, costs, expenses, or reasonable professional fees arising from your unlawful use of the website, your breach of these Terms, or your infringement of the rights of Yudiva or a third party.
This provision does not apply to the extent that the relevant loss results from Yudiva's own unlawful conduct or liability that cannot legally be transferred to you.

We may suspend or restrict access to the website where reasonably necessary, including where we believe that:
- these Terms have been breached
- the website is being misused
- there is a security risk
- unlawful activity is suspected
- access needs to be restricted for technical reasons
- doing so is necessary to protect Yudiva, users, or third parties
Suspension of website access does not affect rights or obligations arising under a separate agreement.
28. Force Majeure
Yudiva will not be responsible for delay or failure in performing an obligation where the delay or failure results from circumstances beyond our reasonable control.
Such circumstances may include, where relevant:

By using the website, you acknowledge that you should review the Privacy Policy to understand how Yudiva handles personal information.
The Privacy Policy is available through the website's privacy section.
31. No Partnership, Agency, or Joint Venture
Use of the website or communication with Yudiva does not by itself create:
- a partnership
- joint venture
- agency relationship
- fiduciary relationship
- employment relationship
- franchise
- exclusive representation arrangement
- other formal business relationship
Such relationships arise only where expressly established through an appropriate agreement or legally effective arrangement.
32. No Waiver

A waiver will only be effective where expressly given in writing.
33. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it lawful and enforceable where possible.
The remaining provisions will continue to apply.

Subject to any mandatory rights or jurisdictional rules that cannot lawfully be excluded, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or your use of the website.
